The meeting of the Treasure Coast Education, Research and Development Authority (TCERDA) Executive
Committee was held Tuesday, August 23, 2016, at the University of Florida Indian River Research and
Education Center, 2199 South Rock Road, Fort Pierce, Florida.

A. CALL TO ORDER
There being a quorum, Mr. Mike Adams called the meeting to order at 3:02 pm.
B. PUBLIC COMMENT
No members of the public were present.
C. WELCOME MEMBERS AND GUESTS
Mr. Adams welcomed the Committee members and other attendees. Stefan Matthes, Culpepper and
Terpening, Inc. was present.
D. APPROVAL OF MINUTES
Mr. Adams requested approval of June 21, 2016, TCERDA Executive Committee minutes. The motion was made
by Mr. Pat Murphy, seconded by Mr. Kevin Heinicka, and passed by acclamation.
E. TREASURER’ S REPORT – Pat Murphy.
The Labor, Operating, and Capital budgets are currently under budget. The remaining $5,098.00 are anticipated
to be sufficient to meet TCERDA’s expenses for the remainder of the fiscal year (FY15‐16). The motion was made
by Mr. Kevin Heinicka, seconded by Mr. Pat Murphy, and passed by acclamation.
F. LEGAL UPDATE and CONTRACTS – Heather Young
Ms. Young discussed the EDA Title Opinion for the Sunshine Kitchen and stated the Title Opinion had been
completed and no additional comments.
Attorney Young completed the UF/USDA MOU but haven’t heard back from Dr. Stoffella or Dr. Scully with
comments. Mr. Heinicka stated, Dr. Cave and Dr. Stoffella has looked at the MOU and is okay with the changes,

They are going to send the MOU to University of Florida’s attorney. Attorney Young stated she would walk the MOU
around to the St. Lucie County Commissioners. Mr. DeVries stated, if she needed him or Mike Adams to speak
with the Commissioners, they would be available.
Attorney Young is currently working on the YourPro Kitchen lease, and waiting to hear back from Sandra Hamberg.
St. Lucie County sent YourPro Kitchen a revised lease and waiting to hear from them regarding the changes. Mr.
DeVries stated he spoke with Ms. Hamberg and they are working on the lease, and everything looks fine.
Mr. DeVries explained that TCERDA is in the process of updating the 2017 St. Lucie County Research Yearbook and
will have a wine opening in January 2017, but wanted to know the rules on serving wine at The Research Park.
Attorney Young stated TCERDA would need permission from the County Administration.
Also, Mr. DeVries wanted to know if the vendors could sell wine and beer at the Fresh Market on Tuesday’s.
Attorney Young stated she would speak with St. Lucie County Risk Manager to verify what’s needed for the setup.
She knows the vendor must have a License and need the State Insurance that’s required by the State of Florida.
Any vendor selling food that’s already prepared should have a County business license.
G. COMMITTEE REPORTS – Mike Adams
Farm to Fork Fresh Market will start on September 6, 2016, from 3:00 pm – 6:00 pm.
H. EXECUTIVE DIRECTOR UPDATE – Ben DeVries
Mr. DeVries stated TCERDA main focus are Food, Energy, and Water. TCERDA currently has Farm to Fly, Farm to
Fork, and presently looking for a water program. Mr. DeVries had lunch with the University of Florida, Interim
Center Director, Ron Cave, and spoke with him regarding TCERDA’s plans and working with University of Florida
students on site with some connection to Gainesville. Dr. Cave suggested Mr. DeVries speak with University of
Florida, Food Science Human Nutrition, Sue Percival. Mr. DeVries stated he would drive up to Gainesville with Dr.
Cave (if available) to meet with Jack Payne, Sue Percival, and Kevin Heinicka to give them a presentation on Farm
to Fork.
Mr. DeVries met with Dr. Edward Skvarch, St. Lucie County Extension Director. TCERDA and the St. Lucie County
Extension will host a Protected Agriculture in Florida Workshop in January 2017. The workshop will focus on a
Smart Food Hub, which consists of; Smart Kitchen, Smart Market, and Smart Greenhouse. More information will
follow on this workshop.
Farm2Fork Market: The Farm2Fork Market is scheduled to begin September 6, 2016, and run through April 15,
2017, from 3:00 pm – 6:00 pm at the Research Park by the lake. TCERDA will fund the advertisement, and promote
the market on TCERDA website. The vendors have followers that will bring people to the market. Mr. P. Murphy
suggested mailing out some advertising West of Fort Pierce.
Farm to Fly – TCERDA currently has 180 participants, including 20 Growers. The growers have 150 – 5,000 acres
available to grow the beets. Mr. DeVries and Mike Adams attended two meetings in Okeechobee last week; one
with Beta Seed, and the other with United Feed Co‐Op.
Growers are considering growing 200‐ 500 acres this calendar year. They will plant the beets in October and harvest
them next April 2017, and feed to the dairy cattle. Mr. DeVries spoke with Amyris, and they want to line up to
deliver a barrel of farnasene, the precursor for bio‐jet fuel.
USDA reimbursed St. Lucie County $27,000.00 for costs related to the $97,000.00 grant. TCERDA will also be
reimbursed $18,000.00 in administration fees.
TCERDA has applied for two more grants. We applied for a USDA AFRI grant on August 18, 2016 for $500,000. This

is a four‐year research project looking at Biofuel Feedstock as a Cover Crop to Reduce Nutrient Runoff improving
regional water quality. We also applied for a USDA NIFA grant on July 16, 2016, for $485,820. This is a four year
research project that will examine the Florida Economic and Environmental Impact of Biofuel Feedstock Supply
Chain.
Our next Farm to Fly workshop will be held on October 20, 2016, and wraps up January 2017.
Sunshine Kitchen – The Sunshine Kitchen bids will be opened on September 7, 2016. Six companies have expressed
an interest in bidding on the Sunshine Kitchen project. The lowest bidder will be selected for the construction of
the Sunshine Kitchen. Afterwards, TCERDA will go before the St. Lucie BOCC recommending the lowest bidder on
September 20, 2016.
The USDA RBDG equipment grant is on hold until we get the building, then we will apply for the grant.
Water Research Program – Mr. DeVries is currently looking for a water research grant.
Business Development:
YourPro Kitchen: TCERDA waiting for a business plan from Cindy Pickering, along with their lease comments.
Algae Power: Algae Power is not ready to build. They are trying to get funded.
Amyris: Building of a proposed $200 million Sustainable Aviation Jet Fuel (SAJF) bioprocessing plant is contingent
on finding growers to deliver 10,000 acres of beet production. Amyris is studying using 200 acres beets to produce
2,000 tons of sugar and shipping it to Galveston, Texas and process it to farnasene, a jet fuel precursor.

I. OLD BUSINESS
J. NEW BUSINESS
Stef Matthes, CARE2 Chair was present to give an update on CARE2 organization. The organization is having two (2)
Fund‐raisers in the next several months. The first fund‐raiser, CARE2, 1st Annual Golf Tournament which will be held
on Friday, October 14, 2016, at Gator Trace Golf & Country Club, starting at 8:30 am. Stef is requesting that the
TCERDA Board members each sponsor a foursome for the golf tournament at $300.00 or contribute raffle gifts. Mr.
Matthes left ten flyers and posters with each member to circulate. CARE2 is in the process of securing sponsors and
teams. People can attend just the banquet. Tickets are only $25.00 a person. If CARE2 gets 20 teams, the organization
could make at least $6,000.00 or $7,000.00.
Prizes will be raffled off. Mr. DeVries stated that TCERDA could promote the Golf Outing at TCERDA’s Farm to Fresh
Market with a booth where people could sign up. Teri Pinney will promote the event through Scripps and because
CARE2 is a 501c3, non‐profit organization, the ad will be free.

The 2ND fundraiser will be a Wine & Shrimp Meet and Greet event Lakeside which will be held at The Treasure Coast
Research Park’s amphitheater. Bud Roberts and Teri Pinney, both serving on the CARE2 Board, will support the Wine
& Shrimp Meet and Greet event. Stef Matthes will provide more information later on this event.
There has been a request to have a TCERDA Board meeting immediately preceding the TCERDA BOCC joint meeting
on September 8, 2016.

Upon no further comments or discussion, Mr. Adams adjourned the meeting at 4:05 pm.

MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING regarding use of certain property lying
within the Treasure Coast Research Park, is made and entered into this _____ day of
______________, 2016, between the University of Florida Board of Trustees, acting on behalf
of the Indian River Research and Education Center, as successor to the Board of Regents of the
State of Florida, hereinafter referred to as the “University,” the United States of America,
acting by and through the Administrator, Agricultural Research Services, United States
Department of Agriculture, hereinafter referred to as “Government,” St. Lucie County, a
political subdivision of the State of Florida, hereinafter referred to as “County,” and the
Treasure Coast Education, Research and Development Authority, a research and development
authority designated under Chapter 159, Part V, Florida Statutes, hereinafter referred to as
“Authority.”
WHEREAS, on March 22, 1972, the State of Florida Board of Trustees of the Internal
Improvement Trust Fund, hereinafter referred to as “TIITF,” as Lessor entered into a Lease
Agreement (No. 2592) with the University as Lessee, for certain property located in what is
known as the Treasure Coast Research Park, hereinafter referred to as the “Master Lease
2592;” and,
WHEREAS, on April 11, 1994, the University entered in to a Sublease to the Master
Lease with the Government wherein the University leased to the Government approximately
one hundred ninety (190) acres for the purpose of constructing and operating thereon certain
improvements of use in agricultural research, hereafter referred to as “Sublease 2592-1;” and,
WHEREAS, Sublease 2592-1 included a provision which granted to the Government the
first right to lease additional land up to sixty (60) acres on the east side of the Florida Turnpike
north of Picos Road and south of the canal for the development of citrus isolation plots to be
jointly planned and used by the Government and the University; and,
WHEREAS, Sublease 2592-1 further provided that the exact location of the above-
referenced sixty (60) acres would be determined by good faith negotiations between the
Government and the University; and,
WHEREAS, on March 28, 2006, the County entered into a lease agreement with TCERDA,
hereinafter referred to as the “County/Authority Lease,” wherein the County leased property to
the Authority for development of the Treasure Coast Research Park; and,
WHEREAS, in order to provide for a more efficient development of a citrus isolation
grove, the University and the Government have requested that the County and the Authority
enter into a Memorandum of Understanding to provide for the development of a future

sublease agreement between the parties for sixty (60) acres to be located on the Treasure
Coast Research Park Phase II Site Plan identified as Parcel 3.a, Parcel 3.b, and portions of Parcel
2.a and Parcel 2.b, hereinafter collectively referred to as the “Site,” subject to the
County/Authority Lease and the concurrent amendment of Sublease 2592-1 to remove the
right of first lease for the additional sixty (60) acres; and,
WHEREAS, in recognition of the important role played by the Government and the
University as partners with the County and the Authority in the development of the Treasure
Coast Research Park and in the overall benefit to the local economy stemming from the citrus
research performed by the Government and the University, the County and the Authority are
willing to enter into this Memorandum of Understanding to provide for the future lease of sixty
(60) acres within the Research Park to the Government and the University for the development
of a citrus isolation grove.
NOW, THEREFORE, in consideration of such mutual benefits, the parties agree as
follows:
1. Purpose. The purpose of the Memorandum of Understanding is to set forth in
general, the terms and conditions of a future Sublease Agreement between the parties for the
development of approximately sixty (60) acres lying within the Treasure Coast Research Park, as
further shown on the drawing attached hereto and incorporated herein as Exhibit A,” as a citrus
isolation grove to be operated by the Government and the University.
2. Government and University Responsibilities. The Government and the
University agree as follows:
A. Within twelve (12) months of the date of this Memorandum of
Understanding, the Government and the University will amend Master Lease 2592 to delete the
following language set forth in Section 1. Leased Premises:
In addition, GOVERNMENT shall have first right to lease additional land
up to 60 acres on the east side of the Florida Turnpike north of Picos Road and
south of the canal for the development of citrus isolation plots to be jointly
planned and used by GOVERNMENT and UNIVERSITY. The exact site, acreage,
terms and conditions shall be established by good faith negotiations between
GOVERNMENT and UNIVERSITY.
B. The Government and the University will provide reasonable notice to the
County and the Authority of the schedule for the development of the citrus isolation plots on
the Site.

C. The Government and the University agree to enter into a Sublease for the
Site subject to the terms and conditions set forth in this Memorandum of Understanding and
such additional terms and conditions to be negotiated in good faith by the parties.
3. Authority Responsibilities. The Authority agrees as follows:
A. The Authority will provide written notice to the other parties in the event it
enters into a Memorandum of Understanding and/or Sublease for property adjacent to the
Site.
B. The Authority agrees to enter into a Sublease for the Site subject to the terms
and conditions set forth in this Memorandum of Understanding and such additional terms and
conditions to be negotiated in good faith by the parties.
4. County Responsibilities. The County agrees as follows:
A. The County agrees to enter into a Sublease for the Site subject to the terms and
conditions set forth in this Memorandum of Understanding and such additional terms and
conditions to be negotiated in good faith by the parties.
5. Future Sublease Terms and Conditions. The parties agree that any future
Sublease between the parties for the Site shall contain at a minimum the following terms and
conditions:
A. The Site shall be divided into six (6) parcels of ten (10) acres each which may be
individually released from the Sublease in the event the parties mutually agree.
B. There shall be two (2) terms of ten (10) years each subject to two (2) years
notice in the event of early termination other than termination for cause.
C. Development and use of the Site shall not create an adverse impact on the
rights-of-way in the Research Park.
D. Costs of relocation of operations from the Site upon termination shall be borne
by the Government and the University.
E. In the event of abandonment or non-use of ten acres or more for a period of two
years, the sublease to Government and/or University on abandoned acres shall terminate and
those subleased premises shall revert to the County/Authority Lease.
6. Financial Obligations. It is mutually understood and agreed that:

A. Any responsibilities assumed by the parties are contingent upon funds being
available from which expenditures may be met.
B. This Memorandum of Understanding is to define in general terms the basis on
which the parties will cooperate and does not constitute a basis for financial obligations or
expenditures. Each party will handle and expend its funds. Any and all expenditures made in
conformity with the plans outlined in this Memorandum of Understanding must be made in
accordance with the parties’ rules regulations and, in each instance based upon appropriate,
fiscal documents, such as a lease, contract, purchase order, or letter or authorizatio n.
6. Term; Termination. The term of this Memorandum of Understanding shall begin
on the date first written above and shall run through and including September 30, 2018. Upon
mutual agreement of the parties, the term may be extended for additional five (5) year periods.
Either party may terminate this Memorandum of Understanding upon thirty (30) days prior
written notice to the other party.
7. Notices. All notices, requests, consents and other communications required or
permitted under this Memorandum of Understanding shall be in writing (including telex and
telegraphic communication) and shall be (as elected by the person giving such notice) hand
delivered by messenger or courier service, telecommunicated, or mailed (airmail if
international) by registered or certified mail (postage prepaid), return receipt requested,

Section. Each such notice shall be deemed delivered (a) on the date delivered if by personal
delivery, (b) on the date telecommunicated if by telegraph, (c) on the date of transmission with
confirmed answer bank if by telex, and (d) on the date upon which the return receipt is signed
or delivery is refused or the notice is designated by the postal authorities as not deliverable, as
the case may be, if mailed. Whenever any party hereto is required to give its approval or
disapproval to any matter contained herein, such approval or disapproval shall be given within
twenty (20) days from receipt of written requests for approval or approval shall be deemed to
be granted.
6. Governing Law. The validity and interpretation of this Memorandum of
Understanding and the legal relations between the parties hereto shall be governed by the laws
of the State of Florida.
7. Entire Agreement. Unless otherwise specified, this Memorandum of
Understanding embodies the entire understanding between the parties, and any prior or
contemporaneous representations, either oral or written, are hereby superseded. No
amendments or changes to this Memorandum of Understanding shall be effective unless made
in writing and signed by an authorized representative of each party.

(“Industry Partner”)
This Memorandum of Understanding memorializes the intent of the parties in creating a mutually beneficial,
collaborative relationship that will lead to joint endeavors. Such endeavors may include the Industry Partner
assisting the TCERDA in feasibility studies, sustainable jet fuel development, service on advisory boards, offering
industry insight and analysis, providing internships for students, conducting joint research in sustainable jet fuel
feedstock and processing pathways, collaborating in supply chain and product development, and mutual general
support in any such endeavors.
The Treasure Coast Education, Research and Development Authority’s mission is to improve Food Energy and
Water security in the Treasure Coast and the State of Florida. The growing need for renewable jet aviation fuel
to serve Florida’s expanding commercial aviation industry creates an opportunity to develop a sustainable sugar
feedstock cultivation and processing supply chain. To build a sustainable Florida supply chain to meet this need
will require market stakeholders – growers, processors, fuel end users, and regional governments - to collaborate.
If we are to rapidly expand agriculture and bioprocessing research and testing, logistics and related support service
facilities, we propose a three-year evaluation program further described in Exhibit I.
We appreciate your interest in building a sustainable aviation jet fuel supply chain in Florida’s Treasure Coast.
Any joint projects or undertaking between the parties that shall require or impose any legally binding obligation
on either party will be set forth in a separate, written agreement.

Exhibit I
Proposed Project Goals
Delta Airlines’ has an interest in working with TCERDA to create a sustainable jet fuel supply chain in
Florida, including purchasing Sustainable Aviation Jet (SAJ) Fuel and Renewable Diesel from a
bioprocessing facility in Florida (“Project”).
Delta Airlines’ interest in the Project beyond additional discussions is conditioned upon the Project's
realization of:
Capacity to deliver 500,000 to 15,000,000 gallons of SJA and Renewable Diesel annually;
Construction of one or more bioprocessing facilities to convert sugar feedstocks into an ASTM
International approved synthesized hydrocarbon turbine fuel;
Cultivation of adequate feedstock crops sufficient to assure production and timely contract
delivery;
State and local financial support for the plant's utilities and infrastructure;
Offtake agreements for 75% of the plant's design volume;
The extension of the federal RFS2 legislation and approval of a pathway to enable RIN
capture; and
Stakeholders' assistance with obtaining regulatory and environmental approvals.
The parties further agree that they will collaborate in good faith to finalize the following:

regulatory approvals, TCERDA cannot commit to a sustainable jet aviation fuel bioprocessing facility
commissioning prior to 2020.
